Deal Combines Two Major Uniform Service Providers

Cintas Corporation has announced a definitive agreement to acquire UniFirst Corporation in a transaction valued at approximately $5.5 billion. The deal brings together two of the largest uniform and facility services providers in North America, combining their service networks, processing operations, and customer bases.

The combined company is expected to serve approximately 1.5 million business customers across uniform programs, facility services, and safety solutions.

Expanded Network and Service Capabilities

The integration will focus on combining route networks, processing capacity, and supply chain operations. The expanded network is expected to improve geographic coverage and strengthen service delivery across North America.

This includes:

  • Broader service reach across regions
  • Increased processing and distribution capacity
  • Greater control over delivery and service timelines

These changes are intended to support more consistent service across large customer programs.

Operational and Technology Integration

Both companies bring existing investments in operational systems that support routing, inventory management, and service delivery. The combined organization plans to optimize these systems and align infrastructure across operations.

Key areas of focus include:

  • Order routing and service scheduling
  • Inventory visibility across facilities
  • Coordination between service locations

Workforce and Continuity

UniFirst employs more than 16,000 team members across over 270 service locations. The combined company expects the majority of employees to have opportunities within the new organization.

Maintaining workforce continuity will be important to ensure consistent service during the transition.

Financial Structure and Expected Synergies

Under the terms of the agreement, UniFirst shareholders will receive $155.00 in cash and 0.7720 shares of Cintas stock per share, representing a total value of $310.00 per share.

Cintas expects to achieve approximately $375 million in operating cost synergies within four years, across areas such as material sourcing, production, service operations, and administrative functions.

Timing and Approvals

The transaction has been approved by the boards of both companies and is expected to close in the second half of 2026, subject to shareholder approval and regulatory conditions.

Industry Context

The transaction reflects ongoing consolidation within the uniform services sector, as companies expand scale and operational capacity to support large customer bases and broader service offerings.
